About tax registration & elections

Registering the entity is only half the job. Before you can take payroll, collect sales tax, or open most business bank accounts, you need a federal Employer Identification Number and, in most states, at least one state-level tax account. These are separate registrations with separate agencies, and missing one is the most common reason a new business gets a penalty notice in its first year.

A federal EIN is issued by the IRS and functions as your business's tax ID. State tax registration is different: depending on what you sell and whether you have employees, you may need a sales and use tax permit, a withholding account, and an unemployment insurance account — each with its own filing calendar. We identify which ones apply to your business type and state, then complete the registrations.

Two elections are worth understanding. Form 2553 elects S-Corporation tax treatment, which can reduce self-employment tax once profit comfortably exceeds a reasonable owner salary; it has strict filing deadlines tied to your tax year. The FinCEN Beneficial Ownership Information report is not a tax filing at all — it's a federal transparency requirement identifying the people who own or control the company, with its own deadline and penalties for late filing.

Tax questions, answered

Can I get an EIN myself for free?

Yes — the IRS doesn't charge for one. People use us to avoid the rejection loops that come from responsible-party mismatches and entity-type errors, and to have it handled alongside the rest of the formation in one pass.

Do I need state tax registration if I only sell online?

Usually yes in your home state, and potentially in states where you cross an economic nexus threshold. Thresholds vary by state and by revenue and transaction count.

When is the S-Corp election due?

Generally within two months and fifteen days of the start of the tax year you want it to apply to, though late-election relief exists in defined circumstances. We check your dates before filing.

Who has to file a BOI report?

Most smaller corporations and LLCs registered to do business in the US, with a list of exemptions for larger and already-regulated entities. Requirements have changed more than once, so we confirm current scope before filing.
