Two things keep an entity's liability shield credible: a real internal governance document and a reliable address for legal service. Neither is glamorous, and both are what a plaintiff's attorney or an acquirer's diligence checklist looks at first.

An operating agreement records who owns what percentage, how profits are distributed, who can sign contracts and open accounts, what happens when an owner wants out or dies, and how disputes are resolved. Most states don't require you to file one, but banks routinely ask for it, and without one your company defaults to your state's generic statutory rules — which are rarely what the owners actually agreed to. Single-member LLCs need one too: it's the clearest evidence that the company is separate from you personally.

A registered agent is the person or company designated to receive lawsuits and official state mail at a physical in-state address during business hours. Using your home address makes it public record and means a process server can arrive in front of customers or family. Missing a served complaint because mail went to a stale address is how default judgments happen.

Do I need an operating agreement for a single-member LLC?

It isn't filed with the state, but yes in practice. It's what demonstrates the company is a distinct entity, and most banks ask for it when opening a business account.

Can I be my own registered agent?

In most states, if you have a physical address there and are available during business hours. The tradeoffs are that the address becomes public record and that being away when you're served can cost you the case by default.

What does a registered agent actually receive?

Service of process for lawsuits, annual report notices, franchise tax notices, and other official state correspondence. We scan and upload each item the day it arrives.

Can I change registered agents later?

Yes. It's a short state filing, usually with a small fee, and it can be handled as part of your next compliance filing.
